Associate or Assistant General Counsel: In-House Legal Counsel, Full Time

KIMC is seeking an Associate or Assistant General Counsel candidate to join our legal team. An ideal candidate will be part of a fast paced and dynamic finance team within a growing organization in the investment management industry. This role requires a driven team-player with a positive and proactive attitude, excellent organization, and the ability to communicate clearly and effectively.


  • Review and provide comments on private fund offering materials, including private placement memoranda, operating and partnership agreements, subscription agreements, and related documents used in connection with private fund securities offerings and real estate transactions
  • Coordinate with internal personnel and external counsel on corporate equity and debt financings
  • Review and provide comments on acquisition documents such as purchase and sale agreements and joint venture operating agreements
  • Assist in the oversight of corporate or partnership governance matters and manage legal documents and/or minutes related to corporate or partnership governance
  • Review organization documents for all entity types
  • Manage, oversee, and coordinate the efforts of outside counsel firms in connection with various transactions, regulatory and compliance issues, and any litigation issues
  • Provide day-to-day business and real estate law counseling; review and negotiate company contracts
  • Provide legal advice, opinions and solutions regarding issues and risks relating to the on-going and expanding business
  • Collaborate with internal stakeholders to resolve issues and mitigate risks
  • Provide supervision, assistance and support as needed to the heads of the various business units on a wide range of transactional matters
  • Negotiate and draft agreements, contracts, and other legal instruments to both protect and further Kairos’ interests
  • Oversee the preparation of corporate maintenance documentation, including resolutions and incumbency certificates
  • Provide proper legal documents to administer incentive compensation plan participation by eligible employees
  • Coordinate with external employment law counsel, as needed
  • Address and respond to the CEO, President, CFO and General Counsel on any other legal matters as needed


  • J.D. degree from an accredited law school and active membership in the CA state bar is required
  • 8-12 years of legal experience as a licensed attorney in business, securities, and contracts matters
  • Commitment to the highest ethical and professional standards; personal and professional integrity beyond reproach; unquestioned discretion in maintaining confidentiality
  • Experience reviewing and negotiating private fund offerings of debt and equity, preferably in connection with private real estate investments
  • Ability to work independently while being able to contribute successfully to cross-functional teams
  • Excellent organizational skills, with the ability to manage multiple projects at once and follow through to meet deadlines
  • Strong analytical, written, and verbal communication skills
  • Strong research abilities for legal matters
  • Great interpersonal skills are needed to effectively manage the legal needs of any department
  • Crucial problem-solving skills are needed to evaluate legal issues quickly and accurately while offering expert legal advice
